1. Acceptance of Terms

By accessing or using Bellator Schedule Intelligence (including our APIs or web application), creating an account, generating an API key, or clicking any acceptance button, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.

2. Description of the Service

Bellator Schedule Intelligence provides standards-based schedule analysis and intelligence. The Service includes:

Our APIs (api.bellatorsi.com): Stateless REST APIs that accept schedule data you provide, perform analysis (health scoring, critical path, compliance checks, risk simulation, and related capabilities), and return results. The APIs are designed with a "pure intelligence, no storage" model — we process your data ephemerally and do not retain your schedule files unless you explicitly save or export results.
Our Web Application (bellatorsi.com): A browser-based interface that allows users to upload schedules, run analyses, view reports, generate PDF/Excel exports, and (on paid plans) access optional storage and collaboration features.

You retain full ownership and responsibility for the schedule data you submit. We provide analysis only; we do not create, edit, or manage your project schedules.

3. Accounts, API Keys, and Access

Most features require an account and API key (for API access) or login (for the web application). You are responsible for:

Keeping your API keys, passwords, and credentials confidential and secure
All activity that occurs under your account or using your API keys
Immediately notifying us of any unauthorized access or use

We may suspend, revoke, or rotate API keys at any time for security, abuse prevention, or compliance reasons. You may not share API keys with third parties without our prior written consent.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Submit schedule data that is malicious, infringing, defamatory, or otherwise unlawful
Attempt to reverse-engineer, decompile, disassemble, or derive source code from the Service
Abuse rate limits, perform denial-of-service attacks, or otherwise interfere with the Service or other users
Resell, sublicense, or redistribute access to the Service without our prior written authorization
Use the Service in any manner that could damage, disable, or impair our systems or reputation

We reserve the right to suspend or terminate access for violations of these Terms.

5. Plans, Rate Limits, and Quotas

The Service is offered in the following plans with corresponding limits (subject to change with reasonable notice):

Exceeding your plan limits may result in throttling, errors, or the need to upgrade. Enterprise and Government plans include custom limits, SLAs, and dedicated capacity where applicable. We reserve the right to adjust limits and pricing with reasonable advance notice.

6. Payment, Billing, and Subscriptions

Paid plans (Starter, Pro, and Enterprise/Government) are billed monthly in advance through Stripe. By subscribing, you authorize us to charge the payment method on file for the applicable fees.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
You may cancel at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period.
No refunds are provided for partial months or unused portions of a subscription, except as required by applicable law.
We may change pricing or plan features with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance.

Enterprise and Government plans may have custom billing terms set forth in a separate order form or agreement.

7. Intellectual Property

Your Content: You retain all rights, title, and interest in the schedule data and any other content you submit to the Service.
Our Service: Bellator Consulting Group LLC retains all rights, title, and interest in the Service, including the software, algorithms, models, documentation, APIs, web application, and all related intellectual property. Nothing in these Terms grants you any rights to use our trademarks, logos, or branding without prior written permission.
Feedback: If you provide suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OF ANY ANALYSIS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PARTICULAR USE CASE OR COMPLIANCE REQUIREMENTS.

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE RESULTS OF ANY ANALYSIS AND FOR ENSURING THAT YOUR SCHEDULES COMPLY WITH APPLICABLE STANDARDS, CONTRACTS, AND REGULATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BELLATOR CONSULTING GROUP LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bellator Consulting Group LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
The schedule data you submit
Your violation of these Terms or applicable law
Any claim that your schedule data or use of the Service infringes the rights of a third party

11. Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without notice, for:

Violation of these Terms
Non-payment
Abuse of the Service or other users
To protect the security or integrity of the Service
As required by law or government authority

You may terminate your account at any time through the account dashboard or by contacting support. Upon termination, your right to use the Service ends immediately, and we may delete or retain data in accordance with our Privacy Policy and legal obligations.

Provisions that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, and governing law) will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Harford County, Maryland (or the U.S. District Court for the District of Maryland), and you consent to the personal jurisdiction and venue of those courts.

13. Export Compliance and Restricted Use

You represent and warrant that you are not located in, and will not use the Service for the benefit of, any country or person subject to U.S. export controls or sanctions. You agree to comply with all applicable export and import laws and regulations.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page (or a dedicated legal page) and update the "Last Updated" date. For material changes, we will provide notice via email to account holders or prominent in-product notice at least 30 days before the changes take effect, where practicable.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
